Anyone who knows what they are doing forms corporate entities in Delaware. The vast majority of publicly traded companies are Delaware corporations. Essentially all venture-backed companies are Delaware corps. Anyone hoping to one day be a big company is Delaware based.

The fact that our laws encourage this sort of thing is kind of funny, but hey, 'states rights', I guess.
